About These Terms

These Terms of Use (“Terms”) apply to aim-port.com and any related pages we operate (the “Website”). The Website is operated by Atlas GPS LLC (“Atlas,” “we,” “us” or “our”). AIM-Port is a product of Atlas GPS LLC.

By accessing or using the Website, you agree to these Terms and to our Privacy Policy. If you are using the Website on behalf of a company or other organization, you confirm that you are authorized to accept these Terms on its behalf. If you do not agree, please do not use the Website.

The Website and the AIM-Port Platform

The Website describes the AIM-Port appraisal and collateral management platform (the “Platform”). Access to and use of the Platform, including any subscription, implementation, support, service levels, fees and data handling, are governed solely by a separate written agreement between your organization and Atlas GPS LLC (a “Customer Agreement”).

Nothing on the Website creates a Customer Agreement or grants any right to use the Platform. If these Terms conflict with a Customer Agreement, the Customer Agreement controls.

Information on the Website

The Website is provided for general information about AIM-Port. We work to keep it accurate and current, but features, integrations, availability and other details may change without notice. Content on the Website is not an offer, a quotation or a commitment to provide any particular feature or result.

Product screens shown on the Website may be illustrations that use fictional sample data. Features described as announced or planned are not commitments and may change or not be released. The integrations we list reflect connections in use at the time of publication; whether a specific integration is available to your organization depends on your Customer Agreement and on the third-party provider.

Customer statements and testimonials reflect the experience of the individuals and organizations who gave them. Results vary and are not a guarantee of results for your organization.

No Professional Advice

AIM-Port is technology for managing appraisal and valuation workflows. Atlas GPS LLC does not perform appraisals or valuations, and nothing on the Website is appraisal, valuation, legal, regulatory, compliance or financial advice.

Each lender, appraisal management company and other user remains responsible for its own compliance with applicable laws, regulations and investor and agency requirements, including appraiser independence requirements. You should consult your own professional advisers before relying on any information on the Website.

Forms and Communications

If you submit a form on the Website, such as a contact or demo request, you agree that the information you provide is accurate and that you are authorized to provide it. Please do not submit borrower, loan or other nonpublic personal information about third parties through Website forms.

By submitting a form, you agree that we may contact you by email or telephone about your request and about AIM-Port. You may ask us to stop at any time by emailing support@aim-port.com. We handle information you submit as described in our Privacy Policy.

Acceptable Use

You agree to use the Website only for lawful purposes and in accordance with these Terms. You agree not to: attempt to gain unauthorized access to the Website, the Platform or any related system; interfere with or disrupt the Website or its security features; introduce malware or other harmful code; use automated means to scrape, copy or collect content or data from the Website except as permitted by a standard search engine; submit false or misleading information or impersonate any person or organization; or use the Website to send unsolicited messages.

We may suspend or block access to the Website for anyone we reasonably believe has violated these Terms.

Intellectual Property

The Website and its content, including text, graphics, interface designs, software and the AIM-Port name and logo, are owned by Atlas GPS LLC or its licensors and are protected by intellectual property laws. Aim-Port© is a product of Atlas GPS LLC.

We grant you a limited, revocable, non-exclusive, non-transferable license to view and use the Website for your own business evaluation of AIM-Port. You may not copy, modify, distribute, sell or create derivative works from any part of the Website without our prior written permission.

If you send us suggestions or feedback about AIM-Port or the Website, we may use them without restriction or obligation to you.

Third-Party Names, Logos and Links

The Website displays names and logos of loan origination systems, appraisal platforms, appraisal management companies, data providers and other organizations whose services integrate with AIM-Port. These names and logos are trademarks of their respective owners. Their display identifies an integration and does not imply that the owner sponsors or endorses AIM-Port, or that we endorse the owner.

The Website may link to websites and services operated by third parties. We do not control and are not responsible for their content, policies or practices, and your use of them is at your own risk and subject to their terms.

Disclaimer of Warranties

THE WEBSITE AND ALL CONTENT ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, ATLAS GPS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ITS CONTENT IS COMPLETE OR CURRENT.

Any warranties relating to the Platform are set out only in the applicable Customer Agreement.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ATLAS GPS LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE WEBSITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE WEBSITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). This section does not limit any liability that cannot be limited under applicable law, and it does not apply to the Platform, which is governed by the applicable Customer Agreement.

Indemnification

You agree to indemnify and hold harmless Atlas GPS LLC and its affiliates, officers, employees and agents from any claims, losses, liabilities and expenses, including reasonable attorneys’ fees, arising out of your violation of these Terms or your misuse of the Website.

Governing Law and Venue

These Terms are governed by the laws of the State of Florida and applicable federal law of the United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Website will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the jurisdiction of those courts.

General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of our right to do so later. These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Website. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.

Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated Terms on this page and change the effective date. Your continued use of the Website after changes are posted means you accept the updated Terms.
